**Val Cucina LLC Affiliate Program Terms and Conditions**

Welcome to theVal Cucina LLC Affiliate Program. This Agreement contains the complete terms and conditions that apply to your participation as an affiliate in the Program of Val Cucina LLC, and the establishment of links from your affiliate website to our website, www.valcucina.com. 

** Acceptance of Terms:**

Your participation in the Program is solely to legally advertise our website to receive a commission on products purchased by your referred individuals. By signing up for theVal Cucina LLC Affiliate Program, you acknowledge that you have read this agreement and agree to all its terms and conditions.

** Commissions:**

As an affiliate, you earn a percentage of the sale for each purchase made by a referred customer who has completed an online purchase with a processed valid payment. Commissions are contingent upon the following:

- All commissions are subject to verification and approval by Val Cucina LLC and are only paid for transactions that have been successfully completed. Transactions that result in chargebacks, returns, or refunds will not be paid out.

- Commissions will be paid monthly, provided you have met the minimum threshold of $100. If this threshold is not met, your earnings will roll over to the following month. 

- Commissionable actions are locked 35 days following the month's close, ensuring all conditions for a successful sale are met. These actions are invoiced on the 7th of the subsequent month and paid out via PayPal on the 1st of each month.

** Termination:**

We may terminate your affiliate status if you violate the terms of this Agreement or engage in any conduct that is damaging to Val Cucina LLC. Termination reasons may include but are not limited to:

- Advertising that is inappropriate or misleading.

- Participation in spamming or unsolicited communications.

- Content that promotes illegal activities or violates any laws.

- Failing to disclose the affiliation with Val Cucina LLC in accordance with Federal Trade Commission guidelines and other applicable laws.

- Engaging in self-referrals, fraudulent transactions, or suspected fraudulent activities.

Val Cucina LLC maintains the authority to terminate your account at our discretion and for any reason, affirming our commitment to fair and lawful affiliate practices.

** Affiliate Links:**

You may use provided graphics and texts for linking or create your own as long as they are deemed appropriate by Val Cucina LLC standards.

** Coupon and Deal Sites:**

Promotion of Val Cucina LLC products must only use coupons and deals authorized specifically for your affiliate use. Unauthorized promotion will result in termination from the Program.

**  Liability:**

Val Cucina LLC is not liable for indirect losses or damages caused by the failure of affiliate tracking or loss of database files.

** Cookie Duration:**

A 90-day cookie duration ensures credit for sales from customers referred via your affiliate links within this period.

** Governing Law:**

The laws of the jurisdiction whereVal Cucina LLC operates govern this Agreement.

** Limitations of Liability:**

Val Cucina LLC will not be liable for any indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commissions paid or payable to the affiliate under this Agreement.

** Indemnification:**

You agree to indemnify, defend, and hold harmless Val Cucina LLC and our parent company, subsidiaries, affiliates, partners, officers, directors, employees, and agents from any and all legal claims, damages, liabilities, costs, and expenses, including legal fees and expenses, arising out of or related to your breach of this Agreement, any misuse by you of the brand name, or your unauthorized use of the provided materials or rights granted under this Agreement. You will also indemnify, defend, and hold harmless Val Cucina LLC from and against any claims that you have violated any law or third-party rights through any act or omission.

** Interactive Services and User Contributions**

"Val Cucina LLC offers Interactive Services like contests, promotions, and forums for users to post various types of content ('User Contributions').This content may include, but is not limited to, text, images, photographs, audio, video, your name, likeness, and any other information or material you choose to provide (collectively, 'User Contributions'). By using the Interactive Services, you agree to comply with our Content Standards and acknowledge that your User Contributions may be displayed on our site and services, as well as in related marketing materials. We reserve the right to change or modify our Content Standards at any time without notice.

When you provide User Contributions, you grant Val Cucina LLC and our partners a permanent, global, and exclusive license to use, modify, share, and build upon this content without any compensation to you. This grant includes all commercial and non-commercial uses without attribution or compensation to you.

While you retain ownership of your original content, any contribution made becomes part of a collective work that Val Cucina LLC has rights to use under copyright law. Your personal use content remains yours, to the extent the law allows.

** Terms of the Agreement**

The term of this Agreement begins upon your acceptance and will end when terminated by either party. We reserve the right to update or change our Terms and Conditions at any time and recommend you check this page periodically. Your continued use of the Service after we post any modifications to the Terms and Conditions on this page will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Terms and Conditions.
